1. Acceptance of Terms

These Terms of Use (“Terms”) govern your access to and use of the Commercin online platform, website, and related services (collectively, the “Platform”).

By using the Platform, you acknowledge that you have read, understood, and agree to be legally bound by these Terms, together with our Privacy Policy and any additional terms or policies referenced herein.

If you do not agree to these Terms, you must not access or use the Platform.

2. About Commercin

Commercin operates as an international B2B marketplace and intermediary platform connecting manufacturers, vendors, and buyers across global markets.

The Platform allows users to create listings, showcase products or services, communicate, and facilitate commercial relationships.

Commercin may also offer paid services, premium listings, or promotional features for business users.

Unless expressly stated otherwise, Commercin is not a direct party to any transaction between buyers and sellers and does not assume ownership, liability, or warranty for listed products or services.

3. Eligibility

Use of the Platform is limited to individuals and business entities with the legal capacity to enter into binding contracts.

By registering, you represent that you:

Are at least 18 years old (or the age of majority in your jurisdiction);
Have the authority to act on behalf of the business you represent; and
Will comply with all applicable laws and regulations related to commercial trade, export, import, and online conduct.

4. User Accounts

Users must register an account to access certain Platform features. When registering, you agree to:

Provide true, accurate, and up-to-date information;
Maintain confidentiality of your login credentials; and
Be solely responsible for all activities conducted under your account.

Commercin reserves the right to suspend, restrict, or terminate accounts that violate these Terms, applicable laws, or ethical standards of business conduct.

5. Platform Use and Conduct

You agree to use the Platform solely for lawful commercial purposes and in compliance with these Terms.

You may not:

Post, upload, or distribute unlawful, fraudulent, defamatory, or misleading content;
Infringe intellectual property or other proprietary rights;
Engage in spamming, phishing, or any activity intended to deceive or harm other users;
Attempt to bypass or interfere with security features, or access unauthorized areas of the Platform;
Use automated tools, bots, or scraping software without our consent.
We reserve the right to review, monitor, and remove any content that, in our discretion, violates these Terms or damages the integrity of the Platform.

6. Listings, Products, and Services

Sellers and vendors are solely responsible for the accuracy, legality, and completeness of all listings, descriptions, and pricing.

Buyers are responsible for reviewing information and verifying the reliability of suppliers before engaging in transactions.

Commercin does not control, endorse, or guarantee:

The existence, quality, or safety of listed products;
The truth or accuracy of user content;
The performance or conduct of buyers or sellers.
Commercin may, at its discretion, moderate listings to ensure compliance but is not obligated to do so.

7. Fees and Payments

Some Platform features, including advertising, promotion, or premium access, may be subject to service fees.

Users will be notified of any applicable fees prior to use.

All payments must be made according to the published pricing and terms of service.

Users are responsible for paying any applicable taxes, duties, or levies associated with their use of the Platform.

Failure to pay fees may result in suspension or termination of access to paid services.

8. Intellectual Property Rights

All content, software, graphics, trademarks, and design elements of the Platform are owned or licensed by Commercin and protected under international copyright, trademark, and intellectual property laws.

Users retain ownership of their submitted content but grant Commercin a non-exclusive, worldwide, royalty-free license to use, reproduce, display, and distribute such content for the operation and promotion of the Platform.

Users must ensure that any materials or content they upload do not violate third-party rights or applicable laws.

9. Confidentiality

Users must treat as confidential any non-public information obtained through the Platform, including business details, contact data, and trade information of other users.

Commercin will handle user data according to its Privacy Policy and will not disclose confidential information except as required by law or with user consent.

10. Privacy and Data Protection

By using the Platform, you consent to such collection and use as described in the Privacy Policy.

11. Third-Party Links and Services

We are not responsible for the content, availability, or practices of any third-party site and disclaim all liability arising from their use.

12. Warranties and Disclaimers

The Platform is provided “as is” and “as available,” without warranties of any kind, whether express or implied.

Commercin does not guarantee uninterrupted access, accuracy of listings, or success of any commercial transaction facilitated through the Platform.

To the fullest extent permitted by law, Commercin disclaims all warranties, including merchantability, fitness for a particular purpose, or non-infringement.

13. Limitation of Liability

To the extent permitted by law, Commercin shall not be liable for any indirect, incidental, consequential, or punitive damages, including but not limited to:

Loss of profits or revenue;
Business interruption or reputational harm;
Loss of data, contracts, or opportunities.

Commercin’s total liability for any claim related to the use of the Platform shall not exceed the total fees paid by the user during the six (6) months preceding the event giving rise to the claim.

14. Indemnification

You agree to indemnify and hold harmless Commercin, its affiliates, directors, and employees from any claim, loss, liability, or expense (including legal fees) arising out of:

Your breach of these Terms;
Violation of applicable laws;
Infringement of third-party rights;
Misuse of the Platform.

15. Suspension and Termination

Commercin reserves the right to suspend, restrict, or terminate user accounts at any time, with or without notice, if:

A user breaches these Terms or applicable law;
Fraudulent or harmful activity is detected; or
Continued use poses risk to other users or the Platform.

Upon termination, all licenses granted under these Terms will immediately cease, and Commercin may retain necessary records for compliance or legal purposes.

16. Governing Law and Jurisdiction
