These Supplier Terms apply to every business that lists products or services on the Platform (“Supplier”). They complement the Terms of Use; if there is a conflict, these Supplier Terms prevail for Supplier matters.
1 Eligibility and verification
Suppliers must be legally registered businesses. Before publishing Listings, a Supplier must provide: an official extract from the company register of its country, its tax identification number, proof of identity of its legal representative, and its address and contact details. We may request additional documents at any time. Verification is renewed every year. We may refuse or withdraw verification if documents are missing, inaccurate or expired. The Verified badge confirms that the company exists and is legally registered; it does not certify product quality.
2 Listings
Listings must be accurate, complete and lawful, and must describe products actually available or producible by the Supplier. The Supplier must state the product's main technical specifications, country of origin, minimum order quantity and, where applicable, its certifications. Products placed on the EU market must comply with EU law, including CE marking where required (for example under the Machinery Regulation (EU) 2023/1230, applicable from 20 January 2027). Listings must not include products covered by our Prohibited and Restricted Products policy. Listings remain active for 12 months, unless removed earlier.
3 Quotes and contracts
The Supplier answers quote requests in good faith and within a reasonable time (we recommend 2 business days). Each Quote should state price, currency, Incoterm, lead time, payment terms and validity. Sales contracts are concluded directly between the Supplier and the Buyer; the Supplier is responsible for delivering conforming products, issuing invoices, and handling after-sales service, warranties and returns as agreed.
4 Fees
- Membership: €20 per month, waived during our launch period. We will give at least 30 days' notice before membership fees start.
- Listing fee: €0.
- Commission: between 7% and 12% of the order value, excluding VAT and shipping, depending on the size and value of the order. The applicable rate is shown in the Supplier dashboard before the Supplier accepts the order, and is fixed when the order is placed.
- Optional promotional services (featured Listings, promotion in newsletters or at Events) are priced separately and shown before purchase.
Commission is due on every sale concluded with a Buyer introduced through the Platform, including sales concluded outside the Platform within 12 months of the introduction. Fees are invoiced by Commercin Limited and are exclusive of VAT, which is added where applicable.
5 Payments and payouts
When secure payment is available, Buyers pay through a licensed third-party payment provider. After the order is confirmed and any protection period has ended, the order value minus commission is paid out to the Supplier's verified bank account on the schedule the Supplier chooses (daily or weekly). Until secure payment is available, the Supplier agrees payment terms directly with the Buyer and Commercin invoices the commission separately.
6 Conduct
The Supplier must respond honestly to Buyers, keep stock and prices up to date, not ask Buyers to pay outside agreed channels in order to avoid fees, and comply with sanctions, export control, anti-corruption and data protection laws.
7 Buyer data
When a Supplier receives a Buyer's personal data through the Platform, it may use that data only to answer the Buyer and perform the transaction, and must protect it as an independent data controller under the GDPR.
8 Content licence
The Supplier grants Commercin a non-exclusive, worldwide, royalty-free licence to display, adapt (format, translation) and promote its Listings, logo and company information on the Platform, in newsletters, on social media and at Events.
9 Suspension and termination
We may suspend Listings or the Supplier account if these Supplier Terms or the Terms of Use are breached, if verification lapses, or if we receive credible reports of fraud, counterfeit or unsafe products. The Supplier may close its account at any time, after completing open orders and paying fees due.
10 Liability
The Supplier is solely responsible for its products, Listings and contracts with Buyers, and indemnifies Commercin against claims arising from them. The limitation of liability in the Terms of Use applies to Commercin.
11 Governing law
These Supplier Terms are governed by the laws of Ireland, and the courts of Ireland have exclusive jurisdiction.
