Terms of Use

1 Who we are and what these Terms cover

These Terms of Use (the “Terms”) are an agreement between you and Commercin Limited, a company registered in Ireland under number 827500, with its registered office at Office 2, 12A Lower Main Street, Lucan, Co. Dublin, K78 X5P8, Ireland (“Commercin”, “we”, “us”). They govern your use of commercin.com, our mobile applications and related services (the “Platform”). By creating an account or using the Platform, you accept these Terms. If you do not accept them, do not use the Platform.

Additional terms apply to suppliers (Supplier Terms) and to participants in our events and exhibitions (Event and Exhibition Participation Terms). Our Privacy Policy, Cookie Policy and Prohibited and Restricted Products policy also form part of these Terms.

2 Definitions

• “Buyer”: a business that uses the Platform to find products, request quotes or place orders.
• “Supplier”: a business that lists products or services on the Platform.
• “User”: any Buyer, Supplier or other person using the Platform.
• “Listing”: a product or service published by a Supplier.
• “Quote”: an offer sent by a Supplier in response to a request for quote (RFQ) or a product enquiry.
• “Event”: a B2B event or exhibition organised by Commercin.

3 A platform for businesses

The Platform is intended for business use only. By registering, you confirm that you are at least 18 years old, that you act on behalf of a business, and that you have authority to bind that business. The Platform is not intended for consumers.

4 Your account

You must provide accurate and complete information and keep it up to date. You are responsible for keeping your login details confidential and for all activity under your account. We may ask you to verify your identity or your business at any time.

5 Our role

Commercin provides a platform where Buyers and Suppliers can find each other, exchange information and conclude contracts. Unless we expressly state otherwise, Commercin is not a party to contracts between Buyers and Suppliers, does not own the products listed, and does not act as agent of either party. Each Supplier is responsible for its Listings, products and obligations under its contracts.

6 Listings, prices and quotes

Suppliers are responsible for the accuracy, legality and completeness of their Listings, including technical specifications, certifications and prices. Prices shown on Listings are indicative until confirmed in a Quote or order confirmation. We may review, edit for format, suspend or remove any Listing that breaches these Terms or the law.

7 Orders and payments

Contracts for the sale of products are concluded directly between the Buyer and the Supplier, on the terms set out in the Quote or order confirmation. Where Commercin offers secure payment, payments are processed by a licensed third-party payment provider under its own terms, and funds are released to the Supplier in accordance with the process described on the Platform. Until secure payment is available, payment terms are agreed directly between the Buyer and the Supplier.

8 Fees

Creating an account and requesting quotes is free for Buyers. Fees for Suppliers (membership, commission and optional promotional services) are set out in the Supplier Terms. Fees for Events are set out in the participation offer. Any fee is shown to you before you incur it. You are responsible for any taxes or duties that apply to your use of the Platform and your transactions.

9 Acceptable use

You must use the Platform lawfully and in good faith. In particular, you must not:

• publish false, misleading, fraudulent or infringing content;
• list or trade products covered by our Prohibited and Restricted Products policy;
• trade in breach of applicable sanctions, export controls, anti-money-laundering or anti-corruption laws;
• contact other Users for purposes unrelated to legitimate business, or send spam;
• interfere with the Platform's security, or use bots, scrapers or other automated tools without our written consent.

10 Reporting illegal content and our decisions

Anyone can report a Listing, profile or message they believe is illegal or breaches these Terms, using the “Report this listing” button or by writing to compliance@commercin.com. Reports should explain the reason and where the content is. We review reports diligently and objectively. If we restrict content or an account, we inform the User concerned of our decision and the reasons for it, unless the law prevents us. You can contest a decision by replying to our notice; it will be reviewed by a person who was not involved in the original decision.

11 Content and intellectual property

The Platform, its design, software and the Commercin brand belong to Commercin Limited or its licensors. You keep ownership of the content you publish, and you grant Commercin a non-exclusive, worldwide, royalty-free licence to host, display, adapt (for format and translation) and promote that content for the operation and promotion of the Platform, for as long as it is published and for a reasonable period afterwards. You confirm that you have the rights needed to grant this licence.

12 Confidentiality

You must keep confidential any non-public business information you receive from other Users through the Platform and use it only to evaluate or perform a transaction with them.

13 Personal data

We process personal data as described in our Privacy Policy. When you receive personal data of another User through the Platform (for example a buyer's contact details), you process it as an independent controller and must comply with data protection law.

14 Disputes between Users

If a disagreement arises between a Buyer and a Supplier, we encourage them to resolve it directly. On request, our team may help both parties reach a solution. Commercin is not obliged to resolve disputes between Users, and any outcome we propose is not binding unless both parties accept it, except where secure payment applies and its rules provide otherwise.

15 Disclaimer

We provide the Platform with reasonable care and skill, but we do not guarantee that it will always be available, uninterrupted or error-free, or that any transaction will be concluded or performed. The Verified badge confirms that we have checked a Supplier's company registration documents; it is not a guarantee of product quality or performance.

16 Limitation of liability

Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot be limited by law. Subject to this, Commercin is not liable for indirect or consequential loss, loss of profit, revenue, business or data, or for the acts, omissions or products of other Users. Our total liability to you in connection with the Platform is limited to the greater of the fees you paid to Commercin in the 12 months before the event giving rise to the claim and €100.

17 Indemnity

You will indemnify Commercin against any claim, loss or cost (including reasonable legal fees) arising from your breach of these Terms or of the law, or from content you publish.

18 Suspension and termination

You may close your account at any time, subject to completing open orders. We may suspend or close an account, or restrict access to features, if a User breaches these Terms or the law, provides false information, or creates a risk for other Users or for the Platform. Where possible, we give notice and reasons beforehand.

19 Changes

We may update these Terms. We will notify registered Users of material changes by email or on the Platform at least 15 days before they take effect. If you do not accept the changes, you may close your account before they take effect.

20 Governing law and courts

These Terms are governed by the laws of Ireland. The courts of Ireland have exclusive jurisdiction over any dispute relating to them, unless mandatory law provides otherwise.

21 Language

These Terms are available in several languages. If there is any inconsistency, the English version prevails.
